Buyer expressly agrees that Seller’s Invoice and these Terms and Conditions of Sale represent the complete agreement of the parties with respect to the sale of the product(s) listed on the Invoice and no different or additional terms or conditions in Buyer’s purchase order or in any other prior or subsequent communications in any way adding to, modifying or otherwise changing these Terms and Conditions of Sale shall be binding upon Seller.
Seller may accept buyer’s offer to purchase and shall be bound to supply the applicable goods in accordance with these terms and conditions either by execution of the acknowledgment copy of the order, or acceptable electronic transmission, or by any other statement, act or course of conduct which constitutes acceptance under applicable law.
Unless otherwise indicated on the face of the invoice, all prices are quoted on per Hong Kong Dollar, US Dollar or RMB basis. Buyer is responsible for any tax or government charges imposed upon the sale or transfer of the Product. Buyer shall not have any right to set off any amounts due hereunder against any amounts which may become payable to Seller under any other agreement.
Unless otherwise agrees in writing signed by officer of Seller, all delivery dates are estimates Seller shall use its reasonable efforts to deliver all Product within the time specified; however, in no case shall Seller be liable for any expense, loss or damage whatsoever suffered by Buyer as a result of the Seller’s failure to deliver Product by the specified date. If the watch delivery is rejected by the Customs of customer home country or otherwise and returned to Worldtimer Limited, that customer will be responsible for the return shipping charges and a re-stocking fee of 30% of the total product purchase price.
The forwarder of shipment is chosen at Seller’s discretion. Your rights regarding the delivery of the product(s) shall be governed by the terms and conditions of this forwarder, which will be available for perusal upon request. You also agree that we will appoint this forwarder to handle all the aspects of the delivery on your behalf. We will not be responsible for any act or failure to act on the part of this forwarder. We disclaim any liability whatsoever and you assume all risks and liabilities associated with its use.
There is no returns, refunds or cancellation after the order is already placed by customer unless the watch has authenticity problem. Seller may also cancel all or any part of this order and discontinue its performance hereunder without liability to Buyer in the event Buyer materially breaches this document/contract or these terms & conditions, becomes insolvent, is the subject to bankruptcy protection, or is the subject of a receivership, liquidation, dissolution or similar proceeding.
Buyer is responsible for any tax or governmental charge imposed upon the sale or transfer of any product. All prices are FOB Seller’s facilities. Applicable freight, shipping and delivery insurance costs will be added to the invoice.
Seller warrants that the purchased Product is free from defects in materials and workmanship at the time of delivery. If an analysis is stated on the face of the Invoice, it is not intended to be a complete analysis and is not to be regarded as a specification or warranty, unless specifically stated in writing to be such. This website and its content are provided on an "as is" basis without warranties of any kind, whether express or implied (except only as may be implied by applicable law). Worldtimer Limited is only providing a venue for the sale of products on its site and shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages (including damages for loss of profit or intangible loss related to your use of this site or use of any of the products purchased at its site). Worldtimer Limited hereby guarantees authenticity of all products sold. After the product is purchased and received, Buyer is free to check the product at official brand boutique or service center anywhere in the world. If the product is found with authenticity problem within the FIRST 4 WEEKS OF PURCHASE, Worldtimer Limited shall FULLY REFUND the product to the customer.

Any action by or on behalf of Buyer or its successors or assigns for breach of this document or these terms & conditions must be commenced within three (3) months after the cause of action as accrued.
All products sold are for customers' personal use only and shall not be commercially resold. Worldtimer Limited may discontinue its performance hereunder without liability to such buyer(s) and refuse any purchasing order which it suspects is for commercial resale.
Buyer shall defend, indemnify and hold harmless Seller and its affiliated or related companies from and against any and all claims, losses, liability, damages and expenses including, but not limited to, attorneys’ fees and cost of defense arising from, related to or in any way connected with or alleged to arise from or out of any asserted deficiencies or defects in Product caused by any alteration or modification thereof by Buyer with or without Seller’s consent, or improper handling or storage by Buyer, the breach of any term or condition stated herein, Buyer’s failure to label product or Buyer’s improper labeling of product regardless of whether the labeling was done with or without the advice of Seller, or any act or omission of Buyer including any claims for or resulting from any injury to person (including death) or damage to property or for economic loss, several or comparative negligence, breach of agreement, breach of warranty or other breach of duty of or by Indemnitee or as a result of Indemnitee’s strict or other product liability. The foregoing indemnification shall not be construed to eliminate or in any way reduce any other indemnification or right which Indemnitee has by law.

Worldtimer Limited affiliate program is free and enables members to earn revenue by placing a link or links on their web site which advertises Worldtimer or specific products on it. Member can also create and send a single product affiliate URL to his customer using "Custom Affiliate Tracking Code" under "My Account" to create the URL. Any sales made to customers who have clicked on these links will earn the affiliate commission. The standard commission rate is currently 1%. The outstanding affiliate commission will be paid by cheque, PayPal or bank transfer on a monthly basis.
